1. Introduction
These Terms and Conditions govern the provision of digital marketing services provided by “Nirvana Tech,” hereinafter referred to as “the Agency,” to you, the Client. By engaging our services, you agree to be bound by these Terms and Conditions.
2. Services
The Agency will provide digital marketing services as described in the Service Agreement and any subsequent proposals or descriptions of services provided to the Client. Services may include, but are not limited to, search engine optimization (SEO), pay-per-click (PPC) advertising, social media management, content creation, and email marketing.
3. Payment Terms
Payment terms, including fees, payment schedules, and acceptable methods of payment, will be specified in the Service Agreement. Late payments may incur additional charges or result in a suspension of services.
4. Intellectual Property Rights
All intellectual property created by the Agency during the provision of services, including but not limited to advertisements, graphics, and written content, shall remain the property of the Agency unless otherwise agreed in writing.
5. Confidentiality
Both parties agree to keep all confidential information received from the other party in strict confidence and not to disclose it to any third party without the prior written consent of the disclosing party.
6. Limitation of Liability
The Agency’s liability to the Client for any loss or damage arising out of or in connection with the services provided shall be limited to the total fees paid by the Client to the Agency for the services. The Agency shall not be liable for any indirect, special, or consequential damages.
7. Dispute Resolution
Any disputes arising out of or related to these Terms and Conditions or the services provided shall be resolved through mediation. If mediation is unsuccessful, disputes shall be resolved through arbitration in accordance with the laws of the jurisdiction in which the Agency is located.
8. Termination
Either party may terminate the Service Agreement by providing written notice to the other party. Specific terms regarding notice periods and obligations upon termination shall be outlined in the Service Agreement.
9. Amendments
The Agency reserves the right to amend these Terms and Conditions at any time. The Client will be notified of any amendments and continued use of the services will constitute acceptance of the amended Terms and Conditions.
10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the Agency is located.
11. Acceptance
By signing the Service Agreement, the Client agrees to these Terms and Conditions.
